Item 1.01. Entry into a Material Definitive Agreement.

On June 26, 2006, Vertex Pharmaceuticals Incorporated and Merck & Co., Inc. agreed to extend the Research Program Term under the Exclusive Research Collaboration, License and Commercialization Agreement, dated as of June 21, 2004 (the “Collaboration Agreement”), between the parties. As a result of this extension, the Research Program Term under the Collaboration Agreement will expire on September 21, 2006.
